Amgen completes $28bn acquisition of Horizon Therapeutics

Amgen Inc. has completed its $27.5 billion acquisition of Dublin-based global biotechnology company Horizon Therapeutics plc in one of the largest transactions of the year.

Matheson advised Horizon on the transaction, while William Fry previously worked with US law firm Sullivan & Cromwell LLP to advise Amgen.

With its focus on the research development and commercialisation of medicines for rare, autoimmune and severe inflammatory diseases, Horizon’s acquisition by Amgen will further accelerate the impact of Horizon’s medicines globally and reinforce the continued long-term growth of the firm.

The Matheson team advising Horizon on the completion of the deal was led by corporate M&A partners David Fitzgibbon and David Jones, based in Dublin and New York respectively.

Greencore sells vegetable oils subsidiary to KTC Edibles

Greencore Group has sold its wholly-owned subsidiary Trilby Trading Ltd to KTC Edibles Ltd, a majority-owned subsidiary of funds managed by Endless LLP.

Arthur Cox LLP advised Greencore on the transaction, while Eversheds Sutherland advised KTC.

Trilby Trading is one of Ireland’s leading importers and distributors of vegetable oils and fats for the food processing industry.

DataSolutions bought by Climb Global Solutions in €15m deal

Irish IT and security solutions distributor DataSolutions Distribution has been acquired by Nasdaq-listed Climb Global Solutions in a €15.4 million deal.

Taylor Wessing advised DataSolutions on the transaction while Fieldfisher advised Climb.

DataSolutions is an Ireland-based, specialist IT distributor serving the Irish and UK reseller markets. Its offering includes solutions across the areas of hybrid multi-cloud, cyber security, digital workspace and networking.

For the fiscal year ending 31 March 2023, DataSolutions reported adjusted EBITDA of around €3.2 million, a double-digit increase from the prior fiscal year.

OBMG Limited acquired by Salute Mission Critical

Irish-based mechanical and electrical design engineering consultancy OBMG Ltd has been acquired by Salute Mission Critical, a global provider of data centre services.

BHSM LLP advised the shareholders of OBMG Limited on the share sale.

Founded in 2005, Athlone-based OBMG Ltd deals in the areas of mechanical and electrical design engineering consultancy, providing mission critical commissioning agents, commissioning managers and QAQC Services.

The BHSM team was made up of Joe McVeigh, Sinéad Mannion and Nadine Cannon.
