Ronan Daly Jermyn advises Morgan McKinley on acquisition of Abtran

Ronan Daly Jermyn recently advised recruitment firm Morgan McKinley on its acquisition of Cork-based outsourcing firm, the Abtran Group.

The deal, which is subject to approval from the Competition and Consumer Protection Commission (CCPC), will allow the merged companies to pursue opportunities for expansion in Ireland and globally.

Morgan McKinley has a presence across Ireland, the UK, EMEA, Canada, Japan, China, Hong Kong, Singapore, India and Australia, while Abtran is a well-established provider of business process management outsourcing with significant potential to expand its offer in terms of internationally traded services.

The combined businesses will employ some 2,500 people and have projected annual revenues of over €300 million. It will be run by the current leadership team.

The RDJ transaction team included corporate and commercial partner Ashling Walsh, banking and finance solicitor Marion Meehan and Aisling O’Donovan, competition partner Diarmaid Gavin and tax partner John Cuddigan.

The transaction team was supported by corporate and commercial solicitor Maria Walsh, employment partners Jennifer Cashman and Antoinette Vahey, data protection partner Ricky Kelly and banking and finance solicitor Treasa Seoighe.

LK Shields advises Kernel Capital on €5m Altratech investment round

LK Shields Solicitors LLP acted for long-standing client Kernel Capital in connection with its participation in the €5 million investment round of Altratech.

The proceeds of this investment round will be used by Altratech – a spin-out from the University of Limerick – to further develop its next-generation molecular detection programme.

The LK Shields team advising Kernel comprised corporate partner Emmet Scully and senior associate Lester Sosa-Villatoro.

Eugene F Collins advises Home Building Finance Ireland on new homes

Eugene F Collins has advised the Home Building Finance Ireland (HBFI) on the development of new homes in Drogheda, Co Meath.

HBFI is partnering with Manley Developments to develop 203 units at Avourwen, Drogheda, for the private market and construction is already under way.

The EFC team was led by banking partner Ray Byrne and property and construction partners Margaret Austin and Sean Twomey, with support from dispute resolution solicitor Kate Liddy-Cormican.

Wallace Corporate Counsel advises Nova Leah on US investment

Dublin-based Wallace Corporate Counsel LLP has advised Irish medical cybersecurity start-up Nova Leah on investment by New York-based Northwell Health.

Nova Leah, a spin-out form Dundalk Institute of Technology, was founded by cybersecurity risk management expert Dr Anita Finnegan.

The new investment will support the medical cybersecurity start-up as it seeks to expand its global reach.

The Wallace Corporate Counsel team included partner and head of investments Alan Ryan and corporate and commercial lawyer Fran Keogh.

Walkers advises Goshawk on extension and upsize of $1.2bn revolving credit facility

Walkers has advised Dublin-based aircraft lessor Goshawk on the extension and upsize of its unsecured revolving credit facility (RCF) from November 2022 to November 2024 with a syndicate of banks.

US firm O’Melveny & Myers LLP acted as legal counsel to Goshawk, working with Walkers on the Irish law elements, Maples Group on the Cayman Islands aspects and Clifford Chance in Amsterdam.

The RCF is Goshawk’s core liquidity facility and is key to supporting the company’s ongoing business and future growth. The current facility of $1.2 billion will be increased to $1.4bn with 18 participating lenders, including two new lenders, into the facility.
